1. Introduction

We provide web application development, mobile application development, web portals, softwares, and website development services ("Services") to startups and small-to-medium enterprises. Our Services include but are not limited to:

• Maintenance and support services
• Digital consulting services

3. Client Obligations

3.1 Project Requirements

Clients must provide clear, detailed project requirements and specifications in writing. Any changes to these requirements must be submitted in writing and may affect project timeline and costs.

3.2 Content and Materials

Clients are responsible for providing all necessary content, images, logos, and materials required for the project in a timely manner and in the specified format. All provided materials must be owned by the client or properly licensed for use.

3.3 Review and Feedback

Clients must review deliverables and provide feedback within the agreed-upon timeframe. Delays in feedback may impact project timelines.

4. Payment Terms

4.1 Fees

• Project fees will be outlined in the proposal or statement of work
• Payment schedule will be specified in the project agreement
• Additional services or revisions beyond the agreed scope will incur additional charges

4.2 Payment Schedule

• Initial deposit: 10% of total project cost upon agreement
• Sprint payments: Invoiced at the start of each 15-day sprint
• Final payment: Due upon sprint completion and before deployment

4.3 Late Payments

• Late payments will incur a 1.5% monthly interest charge
• We reserve the right to suspend work until outstanding payments are settled

5. Intellectual Property Rights

5.1 Client Materials

Clients retain all rights to their original content, logos, and materials provided for the project.

5.2 Deliverables

Upon full payment, clients receive ownership rights to the final deliverables, except for:

• Third-party elements (fonts, images, plugins)
• Our proprietary code frameworks and tools
• Open-source components
• HungryPixel components

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the project. This includes but is not limited to:

• Business strategies
• Technical specifications
• Client data
• Pricing information

7. Project Timeline and Delivery

7.1 Sprint Timeline

Our development process is organized in 15-day sprints, with the number of sprints specified in the project agreement. Each sprint includes:

• Sprint planning and requirement refinement
• Development and implementation
• Testing and quality assurance
• Sprint review and delivery

We are not responsible for delays caused by:

• Unclear requirements
• Late client feedback
• Delayed content delivery
• Changes to sprint scope
• Force majeure events

7.2 Timeline

Project timelines will be specified in the project agreement. We are not responsible for delays caused by:

7.3 Acceptance

Projects will be considered accepted if no major issues are reported within 7 days of delivery.

8. Support and Maintenance

8.1 Post-Sprint Support

We provide 30 days of support after each sprint completion for any issues related to the delivered features. This includes:

• Bug fixes for implemented features
• Technical support for deployment issues
• Minor adjustments to implemented functionality

8.2 Ongoing Maintenance

Ongoing maintenance and support services beyond the initial support period are available under separate sprint agreements or maintenance contracts. These can include:

• Feature enhancements and updates
• Performance optimization
• Security patches and updates
• Technical support and consultation

9. Limitation of Liability

Our liability is limited to the total amount paid for the project. We are not liable for:

• Indirect or consequential damages
• Lost profits or revenue
• Data loss or security breaches not directly caused by our services
• Any legal impacts due to copyright content provided
• Copyright infringement

10. Termination

10.1 Termination by Notice

Either party may terminate the agreement with 15 days written notice.

10.2 Termination for Breach

Material breach of these Terms allows for immediate termination by the non-breaching party.

11. Dispute Resolution

Any disputes will be resolved through:

1. Good faith negotiation
2. Mediation
3. Binding arbitration in India

12. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

13. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website.
